Terms of Service

1. Introduction
These terms govern the relationship between AC software, s.r.o., company ID (IČO) 27305325, registered office at Jáchymovská 271/26, 460 10 Liberec 10 (the "Provider") and the user of the NemKalk platform (the "Customer").
2. Subject of the agreement
The subject is the grant of a licence to use the NemKalk software, technical support and related services to the extent corresponding to the selected licence tier (Individual, Professional, Enterprise).
3. Licence
The licence is non-exclusive, time-limited and non-transferable. The number of named users is determined by the chosen tier. The software is protected by copyright; any modification, decompilation or reverse engineering beyond what is permitted by law is prohibited.
4. Price and payment
Indicative prices are published on the pricing page. Final pricing depends on configuration, user count and integrations and is confirmed in an individual offer. Unless agreed otherwise, invoices are payable within 14 days of issue.
5. Term and termination
The licence is granted for a 12-month period with automatic renewal unless either party provides at least 30 days' notice before the end of the period. The Provider may terminate the licence in case of material breach of these terms.
6. Availability and support
The Provider shall make reasonable efforts to ensure availability of the service. The level of support (e-mail, priority phone, dedicated success manager) corresponds to the licence tier. Scheduled maintenance is announced in advance.
7. Liability
The Provider is liable for damage demonstrably caused by breach of the obligations under this agreement, up to the amount paid by the Customer for the last 12 months of service. The Provider is not liable for lost profits or indirect damages.
8. Personal data
Processing of personal data is governed by our Privacy Policy. Where the Customer processes personal data through the platform, the relationship is regulated by a separate data processing agreement compliant with the GDPR.
9. Final provisions
Matters not regulated by these terms are governed by Czech law, in particular Act No. 89/2012 Coll. (Civil Code). Disputes shall be resolved by the competent court in the Czech Republic.
